Executive Summary
COMPANY
OVERVIEW
Ratti
Entertainment Inc. has created a martial arts film franchise entitled
“Black Salt” which has become part of mainstream American culture.
Investors who participate in this film project will share in the
profits of the whole distribution chain, and not just the domestic
returns provided by most Hollywood arrangements. Our goal is to
create a film with a new backwards approach method which is non
traditional from the Hollywood film process but is drastically needed
in today’s business environment, based on changing technology, piracy
and the new global economy. This backwards approach method
consists of first developing the multi-merchandising product lines
(apparel, video game, animated cartoon, comic book, toy, trading cards
etc.) Then it is equally important to launch a strategical grass
roots marketing and promotional campaign to create a consumer demand,
loyal customer base and multi product revenue streams for the film
before it is even made.
THE
PROJECT
Black
Salt is an international action packed covert/martial arts
feature film project that will be shot in China and the U.S... Black
Salt is an epic story about an ancient and powerful style of
martial arts that has been practiced in the Shaolin Temple for hundreds
of years. When this ancient art is misused to steal a deadly virus that
can threaten the world and change the balance of power, Samuel Tharpe
steps in to stop the threat. With the murder of his son by the
perpetrator of this evil scheme, Samuel Tharpe has to walk through a
forbidden door to save his surviving children and perhaps the world.
Samuel’s suspenseful and inspirational journey will take him through a
small mountainous Chinese province, then back half way across the world
to America. This action packed film has a strong universal message, “A
man should be judged in life by the pureness of his heart and his deeds
and not by his origin or what Klan he was born into.” Black Salt
is a cross between Crouching Tiger; Hidden Dragon meets Blade.
This
film has positive role models and will have a PG-13 rating to capture a
wider target market. The Black Salt budget consists of three
parts which is a feature film, video game and an animated series.
The
Company’s equity investment to date is over $205,000. Which
includes budgeting, scheduling, script rewrites, business plan,
website, internet marketing, grass roots promotional campaign, apparel
line, video game layout, comic book layout, animated series layout and
toy sculpture input.
After
the funding is in place, the film project is scheduled for 8 weeks of
preproduction, 10 weeks of principal photography and 15 weeks of
post-production, totaling 33 weeks from start to finish.

The
company has formed relationships with other key consultants and
advisors, not currently part of our overhead who will be available for
hire to fill important roles on an as-needed basis. This group
comes to us directly from within the entertainment industry. The
expertise they provide includes domestic distribution, foreign
distribution, pre-production, production, post-production, directing,
sound and without exception every aspect of the motion picture
business.
Aries
Carmona, Creator/Producer
Aries
is presently involved as creator/producer of the epic action pack Black
Salt project, in development as a feature film. With a decade of
creative development and promotional management experience, Aries,
innate talent to view projects holistically, penchant for detail,
collaborating spirit and ability to liaise, contributes to the
ease of the producing television programs (FOX “The Next Great Champ” –
NBC “The Other Half”) and film (“GALAVISION” “Nosotros”)
An
early interest in photography led this bi-lingual California native to
earn her degree in Radio and Television from the University of
California Los Angeles. A segue into the field of cinematography was
brought about through an apprenticeship with a photographer. Her
passion for this new medium led to negotiating deals with Galavision
and Telemundo, which provided opportunities to hone her cinematographic
craft in music videos, concerts and Spanish soap operas.
At
the esteemed William Morris Agency, Aries proved to be a quick study on
the corporate side of filmmaking. Her ability to oversee the
television packaging process-from inception to completion-has been
successfully demonstrated in the Reality TV, Talk Show, Game Show,
Independent/Feature Film, Documentary, Music Video and Daytime
Television genre’s.
Aries
then moved to the Paradigm agency where she packaged feature film
projects, created press material for “A” list actors, submitted clients
to casting directors in all levels and edited treatments that needed
rewrites for the agents before submission.
Owen
Ratliff, Creator/Producer
Owen
Ratliff, a southern California native, graduated with a degree in
marketing from Oregon University. A business entrepreneur, he
created an independent record label "Ratti Entertainment" as a
means to provide and outlet for Midwest Rap, R&B, and hip-hop
artists. Owen produced a series of compilation albums entitled "
Midwest Funk Vol. I, II, III which sold over 150,000 copies
independently and hit the billboard charts. When the overseas market
got in the picture his sales skyrocketed. The film industry began to
take notice of this young man's rapid success and offers for both movie
and commercial deals were thrown his way. Owen produced songs on
soundtracks for "Bulworth", "Faking the Funk", "Learning Curve" and
"Blade" as well as various BET and MTV movies, several of which
went gold and platinum.
Owen's
most recently completed film project is a psychological thriller
entitled Unstable Minds, which he co-produced with director Surinda
Singh. Presently, Owen has funded the development phase of his action
packed martial arts/covert feature film franchise Black
Salt. From script, budget and business plan to internet
marketing, grass roots promotional campaign, clothing line, video game
layout, comic book layout, trading cards and toy sculpture input.
Alphonso
Slater, Producer
Alphonso Slater got
his start in the Motion Picture business by working with various Icons
such as Lucille Ball, Rock Hudson and Dick Clark. Shortly thereafter Al
enrolled in the Audio Visual Communication Training Program at MGM
Studios and then received honors at the American Film Institute. Honing
his craft Al went on to work at Paramount Pictures for 10 years in
payroll, accounting and finance.
After leaving
Paramount Al produced four independent films for Airicorn International
Pictures. Al’s next venture was the production accountant for the film“
The Learning Curve “ which was distributed by MGM. Al's most recently
completed film is" Lord Help Us " were he helped develop and line
produced the project. Al has also written twelve screenplays in which
he is presently in development of one of them entitled " Footprints On
The Ceiling ".
Jeffrey Coleman, Executive
Producer
Jeff
was the Senior Vice President of Production at Paramount Pictures for
fifteen years, where he was the executive in charge of all studio
feature film production. Jeff, did such films as 48 hours,
Trading Places, Forrest Gump, Beverly Hills Cop I, II & III, The
Star Trek Feature Movies, Black Rain, Days of Thunder, Clear and
Present Danger to name a few. During Jeff’s tenure at Paramount,
Jeff went to school and became a lawyer. Without a break in
action Jeff was hired at MGM as President of Physical Production.
Jeff’s tenure at MGM (10 years) he did such films as Legally Blonde,
The Thomas Crowne Affair, Die Another Day, Bullet Proof Monk, Get
Shorty, Barber Shop I & II. Jeff is currently working with
Canduit Productions making Independent films.

FINANCING
AND DISTRIBUTION PLAN
The
company seeks to finance the Black Salt film project by securing a
financing deal with equity investors/private investor groups executed
by legal representation at Loeb & Loeb.
A
limited liability agreement will be formed between the production
company (“managing member”) and the investor(s) (“limited
member(s)”). Gross revenues paid to the LLC will be allocated in
the following manner. 80% (Eighty Percent) of all distribution
profits received by the LLC will be placed into a mutually agreed Bank
Trust Account and paid out to the investors until such time as his or
her initial amount of investment (Principal) has been recouped.
Thereafter, the investors would share in his predetermined profit
percentage. This type of transaction falls under the necessary
definition’s that will allow the LLC investor’s to avail themselves the
use of “The American Jobs Creation Act of 2004.” The
Act allows LLC member/investors to write off the entire cost of their
investment in an independent film up to an amount not to exceed
$15,000,000.00 in a tax year. With funding, A-list
talent, director and the merchandising revenue potential, the Company
will be able to broker a distribution deal with a major studio.
RETURN
OF INVESTMENT
The
rate of Return for Investors will be a negotiated percentage that
reflects industry standards. This will also consist of a
“preferred return” (order of re-payment for investment), a fixed bonus
amount, share in profits and screen credit. Currently, we are
planning to offer investors 110% return on their principal investment
and 30% to 50% profit participation in addition to a company screen
credit, or an executive producer credit determined by the number of
investors and the structure of the funding. Principal repayment
and profit participation will be paid through various revenue streams,
which include Box office returns, DVD Sales, Pay-per-view, Cable,
Network and Syndicated Television, and all other ancillary revenue
streams.
RISK
STATEMENT
Investment
in the film industry is highly speculative and inherently risky.
There can be no assurance of the economic success of any motion picture
since the revenues derived from the production and distribution of a
motion picture depend primarily upon its acceptance by the public,
which cannot be predicted. Therefore, we aim to mitigate the risk
to our financiers by conducting very thorough and detailed development,
pre-production and a strong marketing strategy. We will also seek
to employ A-list talents and a reputable production crew in the
industry to maximize the potential for a greater return of profits.
